Our Services are very diverse, so sometimes additional terms or service requirements (including age requirements) may apply. Additional terms will be available with the relevant Services, and those additional terms become part of your agreement with us if you use those Services.

This software agreement (Agreement) is a legal agreement between you herein ("You", “User”, “Users”, "Client", "The Client", "The Clients", "The licensee", "licensee"), and ActiveLocals herein ("The Software and it's Developer(s)", "The Software", "Developer", "This Software", "This Service", "Service", “Services”) that describes the terms and conditions applicable to your use of the Software.

ActiveLocals gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by ActiveLocals as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by ActiveLocals, in the manner permitted by these terms. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

USING OUR SERVICES

You must follow any policies made available to you within the Services.

Don’t misuse our Services. For example, don’t interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Don’t remove, obscure, or alter any legal notices displayed in or along with our Services.
Our Services display some content that is not ActiveLocals’s. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please don’t assume that we do.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.
All of our Services are available on mobile and tablet devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws.

YOUR ACTIVELOCALS ACCOUNT

You may need a ActiveLocals Account in order to use some of our Services. You may create your own ActiveLocals Account, or your ActiveLocals Account may be assigned to you by an administrator, such as your employer or educational institution. If you are using a ActiveLocals Account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account.
To protect your ActiveLocals Account, keep your password confidential. You are responsible for the activity that happens on or through your ActiveLocals Account. Try not to reuse your ActiveLocals Account password on third-party applications. If you learn of any unauthorized use of your password or ActiveLocals Account, contact us on here immediately.

YOUR CONTENT IN OUR SERVICES

Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.
When you upload, submit, store, send or receive content to or through our Services, you give ActiveLocals (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services, and to develop new ones. This license continues even if you stop using our Services (for example, for a business listing you have added to ActiveLocals). Some Services may offer you ways to access and remove content that has been provided to that Service. Also, in some of our Services, there are terms or settings that narrow the scope of our use of the content submitted in those Services. Make sure you have the necessary rights to grant us this license for any content that you submit to our Services.

MODIFYING AND TERMINATING SERVICES

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.

You can stop using our Services at any time, although we’ll be sorry to see you go. ActiveLocals may also stop providing Services to you, or add or create new limits to our Services at any time.

We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.

OUR WARRANTIES AND DISCLAIMERS

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services.
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER ACTIVELOCALS NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES “AS IS”.SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.

LIABILTIY FOR OUR SERVICES

WHEN PERMITTED BY LAW, ACTIVELOCALS, AND ACTIVELOCALS’S SUPPLIERS AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ACTIVELOCALS, AND ITS SUPPLIERS AND DISTRIBUTORS, FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU THE SERVICES AGAIN). IN ALL CASES, ACTIVELOCALS, AND ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OR FOR ANY DAMAGES RELATING TO LOSS OF BUSINESS, TELECOMMUNICATION FAILURES, THE LOSS, CORRUPTION OR THEFT OF DATA, VIRUSES, SPYWARE, LOSS OF PROFITS OR INVESTMENT, USE OF THE SOFTWARE WITH HARDWARE OR OTHER SOFTWARE THAT DOES NOT MEET DEVELOPER'S SYSTEMS REQUIREMENTS OR THE LIKE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF DEVELOPER, ITS SUPPLIERS, SERVICE PROVIDERS, OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME STATES DO NOT ALLOW THE LIMITATION AND/OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

BUSINESS USES OF OUR SERVICES

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify ActiveLocals and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.

CONTENT

ActiveLocals does not control, is not responsible for and makes no representations or warranties with respect to any User and User content. Users are solely responsible for their access to, use of and/or reliance on any user content. Users must conduct any necessary, appropriate, prudent or judicious investigation, inquiry, research and due diligence with respect to any user content.

Users are also responsible for any content that Users post or transmit and, if Users create an account, Users are responsible for all content posted or transmitted through or by use of Users account.

Content prohibited from This Software includes but is not limited to: (1) illegal content; (2) content in facilitation of the creation, advertising, distribution, provision or receipt of illegal goods or services; (3) offensive content (including, without limitation, defamatory, threatening, hateful or pornographic content); (4) content that discloses another's personal, confidential or proprietary information; (5) false or fraudulent content (including but not limited to false, fraudulent or misleading responses to user ads transmitted via This Software); (6) malicious content (including, without limitation, malware or spyware); (7) content that offers, promotes, advertises, or provides links to posting or auto-posting products or services, account creation or auto-creation products or services, or any other product or service that if utilized with respect to This Software would violate these Terms of Service or Agreement or This Software's other legal rights; and (8) content that offers, promotes, advertises or provides links to unsolicited products or services.

Users agree to indemnify and hold This Software and This Software's Representatives harmless from and against any third-party claim, cause of action, demand or damages related to or arising out of: (a) content that Users post or transmit (including but not limited to content that a third-party deems defamatory or otherwise harmful or offensive); (b) activity that occurs through or by use of Users account (including, without limitation, all content posted or transmitted); (c) Users use of or reliance on any user content; and (d) Users violation of the Terms of Service and Agreement. This indemnification obligation includes payment of any attorneys' fees and costs incurred by This Software or This Software's Representatives.

CONDUCT

(a) General

This Software does not control, is not responsible for and makes no representations or warranties with respect to any user or user conduct. Users are solely responsible for Users interaction with or reliance on any user or user conduct. Users must perform any necessary, appropriate, prudent or judicious investigation, inquiry, research and due diligence with respect to any user or user conduct.

Users are also responsible for Users' own conduct and activities on, through or related to This Software, and, if Users create an account on This Software, Users are responsible for all conduct or activities on, through or by use of Users account.

Users agree to indemnify and hold This Software and This Software's Representatives harmless from and against any third-party claim, cause of action, demand or damages related to or arising out of Users own conduct or activities on, through or related to This Software or This Software's Representatives, and related to or arising out of any conduct or activities on, through or by use of Users account, if any. This indemnification obligation includes payment of any attorneys' fees and costs incurred by This Software or This Software's Representatives.

(b) Itemized

While on ActiveLocals you agree to conduct yourself in such a manner that refrains you from doing any of the following:

Threatening, harassing, embarrassing and derogatory statements, depictions indirectly or directly to cause harm, distress or discomfort onto any user or otherwise restricting or inhibiting any user from using or enjoying our services.

Transmitting any information, data, text, files, links, software, chats, communication or other materials that is unlawful, false, misleading, harmful, threatening, abusive, invasive of another's privacy, harassing, defamatory, vulgar, obscene, hateful or racially or otherwise objectionable, including without limitation material of any kind or nature that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, provincial, national, or international law or regulation, or encourage the use of controlled substances.

Posting advertising or solicitation in categories that is not appropriate, or posting the same item or service in more than one category to over saturate the category with your presence or Ads.

Posting any adult content or explicit adult material.

Posting child pornography; bestiality; offers or solicitation of illegal prostitution.

Posting any adult content or explicit adult material if you are not 18 years of age or older and are a minor in your state of residence, county, country or jurisdiction.

Posting, anywhere on the Site, obscene or lewd and lascivious graphics or photographs which depict genitalia or actual or simulated sexual acts.

Posting any Ad directly or indirectly for any illegal service exchanging sexual favors for money or other valuable consideration or means of exchange or barter that exploits minors in any way or in any way constitutes or assists in human trafficking.

Posting any ad for products or services, use or sale of which is prohibited by any law or regulation.

Sending mail, e-mail, voice messages or faxes for solicitation of any other product, or service to a user of ActiveLocals unless the user has granted permission in their ad or otherwise allowed contact for solicitation.

Posting recalled items; hazardous materials; body parts/fluids; un-sanitized bedding/clothing.

Posting prescription drugs, medical devices; controlled substances and related items.

Posting alcohol or tobacco; un-packaged or adulterated food or cosmetics.

Posting endangered, imperiled and/or protected species and any parts thereof.

Posting false, misleading, deceptive, or fraudulent content; bait and switch.

Posting offensive, obscene, defamatory, threatening, or malicious postings or email.

Posting anyone's personal, identifying, confidential or proprietary information.

Posting counterfeit, replica, or pirated items; tickets or gift cards that restrict transfer.

Posting lottery or raffle tickets, sweepstakes entries, slot machines, gambling items.

Posting affiliate marketing; network, or multi-level marketing; pyramid schemes.

Tampering with any Ad posted by any other user.

Deliberately or unintentionally interfering with or infringing the patents, copyrights, trademarks, service marks, logos, confidential information or intellectual property rights of others.

Using any automated device, routine or software to access, copy, or download any part of the ActiveLocals unless expressly permitted by the ActiveLocals.

Deliberately or unintentionally generating large usage loads on ActiveLocals, sending messages or engaging in disruptive or damaging activities, including but not limited to excessive use of scripts, sound waves, scrolling, viruses, bots, worms, time bombs and Trojan horses or any other destructive element to sabotage or otherwise cripple services either advantageous to you or not.

Gaining or attempting to gain "brute-forcing" unauthorized access to non-public areas of ActiveLocals or other User's accounts. In addition, if you have a password to a non-public area of the Site, you may not disclose to, or share your password, with any third parties and/or use your password for unauthorized purposes.

Attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up all or any part of the Site; modifying any meta data, copying or duplicating in any manner any of the content; framing of or linking to any of the Site, its content or information available from the Site without the express written consent of agents of the Site.

Discrimination on the grounds of race, religion (creed), national origin, gender, disability, age, marital status, sexual orientation, social or economic status or refers to such matters in any manner as prohibited by law.

Posting any employment Ads that violate the anti-discrimination provisions of the Immigration and Nationality Act or messages which violate any law or regulation.

Using ActiveLocals to engage in or assist another User or person/s or entity to engage in fraudulent, abusive, manipulative or illegal activity.

Posting Ads promoting links to commercial services or web sites to lure Users' of Activeocals except in section of ActiveLocals where such ads are expressly permitted.

Postings or email offering, promoting, or linking to unsolicited products or services.

Posting food stamps, WIC vouchers, SNAP or WIC goods, governmental assistance.

Posting stolen property, property with serial number removed/altered, burglary tools etc.

Posting ID cards, licenses, police insignia, government documents, birth certificates etc.

Posting US military items not demilitarized in accord with Defense Department policy.

Posting weapons; firearms/guns and components; BB/pellet, stun, and spear guns, ammunition, magazines (clips), cartridges, reloading materials, gunpowder, fireworks and explosives, or advertising of which is prohibited by applicable federal, state, or local law. You are solely responsible for complying with all laws and/or regulations applicable to the transfer of firearms under both applicable local, state and federal laws. The transfer of firearms is heavily regulated and restricted, and failure to strictly comply with all such laws is a serious crime and may result in criminal prosecution. All transfers of firearms, whether by sale, lease or loan, including private transactions, must go through a licensed firearms dealer. Any exception to these laws, such as air guns, knives, accessories, certain antiques, and some gun parts that may not require transfer by a licensed dealer, should be first confirmed by you prior to purchase. It is your responsibility to comply with all such laws, including all city, county, state and Federal laws when accessing or using this site. It is also your responsibility to locate one or more licensed firearm dealers in your area and/or the area of any buyer or seller listing here who are able and willing to assist you with any such transfer. We do not offer any assistance with respect to locating a licensed dealer for your transaction or otherwise with respect to your transaction. By listing any firearm, you represent and warrant to us that you legally own and possess the item you wish to list here and have fully complied with and will continue to fully comply with all laws and regulations applicable to your listing, transfer and/or sale. By agreeing to purchase any firearm, you represent and warrant to us that you are of legal age, and are not otherwise prohibited by law from purchasing, transferring, owning, or possessing the firearm listed, and that you have fully complied with and will continue to fully comply with all laws and regulations applicable to your transfer or purchase.

ABOUT THESE TERMS

We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.

These terms control the relationship between ActiveLocals and you. They do not create any third party beneficiary rights. If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future). If it turns out that a particular term is not enforceable, this will not affect any other terms. The laws of Nevada, U.S.A., excluding Nevada’s conflict of laws rules, will apply to any disputes arising out of or relating to these terms or the Services. All claims arising out of or relating to these terms or the Services will be litigated exclusively in the federal or state courts of Clark County, Nevada, USA, and you and ActiveLocals consent to personal jurisdiction in those courts.

PRIVACY AND COPYRIGHT INFORMATION

ActiveLocals’s privacy and copyright policies explain how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that ActiveLocals can use such data in accordance with our privacy policies. We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

We provide information to help copyright holders manage their intellectual property online. If you think somebody is violating your copyrights and want to notify us, you can find information about submitting notices here contact us on here immediately.

We collect information to provide better services to all of our users – from figuring out basic stuff like which language you speak, to more complex things like if you are who you are and if you have the required licenses to post or use our services.

WE COLLECT INFORMATION IN THE FOLLOWING WAYS:

Information you give us. For example, many of our services require you to sign up for a ActiveLocals Account. When you do, we’ll ask for personal information, like your name, email address, telephone number to store with your account. If you want to take full advantage of the sharing features we offer, we might also ask you to create a publicly visible ActiveLocals Profile, which may include your name and photo.

When you use our services or view content provided by ActiveLocals, we automatically collect and store certain information in server logs. This includes:

Cookies that may uniquely identify your browser or your ActiveLocals Account.

When you use ActiveLocals services, we may collect and process information about your actual location. We use various technologies to determine location, including IP address, GPS, and other sensors that may, for example, provide ActiveLocals with information on nearby devices, Wi-Fi access points and cell towers.

LOCAL STORAGE

We may collect and store information (including personal information) locally on your device using mechanisms such as browser web storage (including HTML 5) and application data caches.

COOKIES AND SIMILAR TECHNOLOGIES

We and our partners use various technologies to collect and store information when you visit a ActiveLocals service, and this may include using cookies or similar technologies to identify your browser or device.

HOW WE USE INFORMATION WE COLLECT

We use the information we collect from all of our services to provide, maintain, protect and improve them, to develop new ones, and to protect ActiveLocals and our users.

We may use the name you provide for your ActiveLocals Profile across all of the services we offer that require a ActiveLocals Account. In addition, we may replace past names associated with your ActiveLocals Account so that you are represented consistently across all our services. If other users already have your email, or other information that identifies you, we may show them your publicly visible ActiveLocals Profile information, such as your name and photo.

When you contact ActiveLocals, we keep a record of your communication to help solve any issues you might be facing. We may use your email address to inform you about our services, such as letting you know about upcoming changes or improvements.

TRANSPARENCY AND CHOICE

People have different privacy concerns. Our goal is to be clear about what information we collect, so that you can make meaningful choices about how it is used. For example, you can:

Review and update your ActiveLocals privacy controls to decide what types of data, such as email, phone and messages sent to you by ActiveLocals. You can also visit these controls to manage other privacy settings.
Review and control certain types of information tied to your ActiveLocals Account by using ActiveLocals’ Dashboard.
Adjust how the Profile associated with your ActiveLocals Account appears to others including what Ads you have posted and if they should be visible.

INFORMATION YOU SHARE

Many of our services let you share information with others. Remember that when you share information publicly, it may be indexable by search engines. Our services provide you with different options on sharing and removing your content.

ACCESSING AND UPDATING YOUR PERSONAL INFORMATION:

Whenever you use our services, we aim to provide you with access to your personal information. If that information is wrong, we strive to give you ways to update it quickly or to delete it – unless we have to keep that information for legitimate business or legal purposes. When updating your personal information, we may ask you to verify your identity before we can act on your request.

We may reject requests that are unreasonably repetitive, require disproportionate technical effort (for example, developing a new system or fundamentally changing an existing practice), risk the privacy of others, or would be extremely impractical (for instance, requests concerning information residing on backup systems).

Where we can provide information access and correction, we will do so for free, except where it would require a disproportionate effort. We aim to maintain our services in a manner that protects information from accidental or malicious destruction. Because of this, after you delete information from our services, we may not immediately delete residual copies from our active servers and may not remove information from our backup systems.

We DO NOT share personal information with companies, organizations and individuals outside of ActiveLocals unless one of the following circumstances applies:

FOR EXTERNAL PROCESSING (BACKGROUND CHECKS)

We provide personal information to other trusted businesses to process it for us, based on our instructions and in compliance with our Privacy Policy and any other appropriate confidentiality and security measures.

FOR LEGAL REASONS:

We will share personal information with companies, organizations or individuals outside of ActiveLocals if we have a good-faith belief that access, use, preservation or disclosure of the information is reasonably necessary to:
meet any applicable law, regulation, legal process or enforceable governmental request.

Enforce applicable Terms of Service, including investigation of potential violations.

Detect, prevent, or otherwise address fraud, security or technical issues.

Protect against harm to the rights, property or safety of ActiveLocals, our users or the public as required or permitted by law.

If ActiveLocals is involved in a merger, acquisition or asset sale, we will continue to ensure the confidentiality of any personal information and give affected users notice before personal information is transferred or becomes subject to a different privacy policy.

INFORMATION SECURITY

We work hard to protect ActiveLocals and our users from unauthorized access to or unauthorized alteration, disclosure or destruction of information we hold. In particular:
We encrypt many of our services using SSL.
We review our information collection, storage and processing practices, including physical security measures, to guard against unauthorized access to systems.
We restrict access to personal information to ActiveLocals employees, contractors and agents who need to know that information in order to process it for us, and who are subject to strict contractual confidentiality obligations and may be disciplined or terminated if they fail to meet these obligations.

WHEN THIS PRIVACY POLICY APPLIES

Our Privacy Policy applies to all of the services offered by (NERD LLC) ActiveLocals and its affiliates, but excludes services that have separate privacy policies that do not incorporate this Privacy Policy.

Our Privacy Policy does not apply to services offered by other companies or individuals, including products or sites that may include ActiveLocals services, or other sites linked from our services. Our Privacy Policy does not cover the information practices of other companies and organizations who advertise our services, and who may use cookies and other technologies to serve our services.

COMPLIANCE AND COOPERATION WITH REGULATORY AUTHORITIES

We regularly review our compliance with our Privacy Policy. We also adhere to several self regulatory frameworks, including the EU-US and Swiss-US Privacy Shield Frameworks. When we receive formal written complaints, we will contact the person who made the complaint to follow up. We work with the appropriate regulatory authorities, including local data protection authorities, to resolve any complaints regarding the transfer of personal data that we cannot resolve with our users directly.

CHANGES

Our Privacy Policy may change from time to time. We will not reduce your rights under this Privacy Policy without your explicit consent. We will post any privacy policy changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain services, email notification of privacy policy changes). We will also keep prior versions of this Privacy Policy in an archive for your review.

CONSENT TO CONDUCT BUSINESS ELECTRONICALLY

(a) Consent to Electronic Communications. ActiveLocals may be required by law to send Communications to you that may pertain to the Software, the use of information you may submit to ActiveLocals, and the services you choose. Additionally, certain of the Third Party Services you choose may require Communications with the third parties who administer these programs. You agree that ActiveLocals, on behalf of itself, and others who administer such services (as applicable), may send Communications to you by email and/or may make Communications available to you by posting them at one or more websites. You consent to receive these Communications electronically. The term Communications means any notice, record, agreement, or other type of information that is made available to you or received from you in connection with the Software and the Online Services and Third Party Services.

(b) Consenting to Do Business Electronically. The decision whether to do business electronically is yours, and you should consider whether you have the required hardware and software capabilities described below. Your consent to do business electronically and our agreement to do so covers all transactions you conduct through the Software for as long as you remain a User of the Software.

(c) Hardware and Software Requirements. In order to access and retain an electronic record of Communications, you will need: a computer, a monitor, a connection to an Internet service provider, Internet browser that supports a minimum 128-bit encryption, and an e-mail address. By selecting the "ACCEPT" button, you are confirming to us that you have the means to access, and to print or download, Communications. We do not provide ISP services. You must have your own Internet service provider.

(d) Withdrawal of Consent. If you later decide that you do not want to receive future Communications electronically, contact us on here immediately.  If you withdraw your consent to receive Communications electronically, we may terminate your use of the Software.

(e) Changes to Your Email Address. You agree to notify us promptly of any change in your email address.

 

AMENDMENT

ActiveLocals shall have the right, to change or add to the terms of its Agreement at any time, (provided that it is not ActiveLocals intent that such change substantially affect the license rights granted to Licensee and for which consideration was paid by you) and to change, delete, discontinue, or impose conditions on any feature or aspect of Software and Services (including but not limited to Internet based services, pricing, technical support options, and other product-related policies) upon notice by any means ActiveLocals determines in its discretion to be reasonable, including posting information concerning any such change, addition, deletion, discontinuance or conditions in Software or on any ActiveLocals sponsored web site. Any use of the Software by you after ActiveLocals’s publication of any such changes shall constitute your acceptance of this Agreement as modified.

MISCELLANEOUS

MISCELLANEOUS. Except as expressly set forth in this Agreement, this Agreement is a complete statement of the agreement between you and ActiveLocals and sets forth the entire liability of ActiveLocals, its Suppliers, and service providers, and your exclusive remedy with respect to the Software, and its use. The Suppliers, agents, employees, distributors, and dealers of ActiveLocals are not authorized to make modifications to this Agreement, or to make any additional representations, commitments, or warranties binding on Developer. Any waiver of the terms herein by ActiveLocals must be in a writing signed by an authorized officer of ActiveLocals and expressly referencing the applicable provisions of this Agreement. If any provision of this Agreement is invalid or unenforceable under applicable law, then it shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. This Agreement will be governed by Nevada law as applied to agreements entered into and to be performed entirely within ACL - ActiveLocals, without regard to its choice of law or conflicts of law principles that would require the application of law of a different jurisdiction, and applicable federal law. Headings are included for convenience only, and shall not be considered in interpreting this Agreement. As used in this Agreement, the word including means including but not limited to. This Agreement does not limit any rights that ActiveLocals may have under trade secret, copyright, patent or other laws.

 

By clicking ACCEPT, you indicate that you have read, understand and assent to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, or DECLINE it, you are not granted any rights or access whatsoever in the Software and are asked to immediately discontinue your use of our Service, close all our pages and all references of our websites immediately.
